Terms of Use

These Terms of Use govern your access to and use of the website sproutflexible.world and all digital well-being products and services offered by Sproutflexible, including the Digital Habits Starter Guide, Team Screen Balance Workshop Kit, and Organisation Well-being Programme. By accessing our website or purchasing any product, you agree to be bound by these terms.

1. Acceptance of Terms

By visiting sproutflexible.world, submitting an enquiry, or completing a purchase, you confirm that you have read, understood, and agree to these Terms of Use, our Privacy Policy, Cookies Policy, and Return Policy. If you do not agree, you must discontinue use of our website and services immediately. If you are accepting these terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. About Our Services

Sproutflexible provides digital well-being educational resources designed to help employees and organisations in New Zealand develop healthier relationships with workplace technology. Our products include downloadable guides, workshop facilitation materials, and multi-week organisational programmes focused on screen balance, focus management, and sustainable digital habits. Our services are educational in nature and do not constitute professional counselling, occupational health assessment, or legal advice.

3. Product Descriptions and Pricing

We strive to ensure all product descriptions on sproutflexible.world are accurate and current. The Digital Habits Starter Guide is priced at NZD $49, the Team Screen Balance Workshop Kit at NZD $189, and the Organisation Well-being Programme at NZD $549. All prices are in New Zealand dollars and include GST where applicable. We reserve the right to modify prices at any time; however, confirmed orders are honoured at the price stated at the time of purchase.

Product contents, including the number of modules, worksheets, and support inclusions, are described on the relevant product pages. Minor updates to materials that improve clarity or reflect current best practices do not constitute a material change to the purchased product.

4. Licence and Permitted Use

Upon purchase, Sproutflexible grants you a non-exclusive, non-transferable licence to use the purchased digital materials for their intended purpose. The Digital Habits Starter Guide is licensed for individual use by the purchaser. The Team Screen Balance Workshop Kit may be used within a single organisation for internal workshops with up to twenty participants per licence. The Organisation Well-being Programme licence covers use within one organisation for up to one hundred employees.

You may not redistribute, resell, sublicense, publicly display, or commercially exploit our materials outside the scope of your licence. You may not remove copyright notices, modify content for external distribution, or upload materials to public file-sharing platforms. Internal sharing within your licensed organisation for employee wellness purposes is permitted.

5. Intellectual Property

All content on sproutflexible.world, including text, graphics, logos, product materials, workshop slides, worksheets, and software, is the property of Sproutflexible or its content suppliers and is protected by New Zealand and international copyright, trademark, and intellectual property laws. Unauthorised use of our intellectual property may result in legal action and immediate termination of your licence.

6. Enquiry and Order Responsibilities

Orders are initiated by submitting an enquiry through our contact form or by contacting us directly. When placing an order or submitting an enquiry, you agree to provide accurate, complete, and current information. You are responsible for ensuring the email address provided for product delivery is correct and accessible. Sproutflexible is not liable for non-delivery resulting from incorrect contact details provided by the purchaser. Organisational purchasers are responsible for ensuring compliance with internal procurement policies.

7. Payment Terms

After you submit an enquiry, we will confirm product availability, total price, and accepted payment methods by email or invoice. Payment is required in full before digital delivery unless alternative arrangements have been agreed in writing for organisational purchases. All transactions are processed securely through our designated payment provider. Failed or declined payments will result in order cancellation. Invoiced organisational orders are due within fourteen days of invoice date unless otherwise specified.

8. Delivery of Digital Products

Digital products are delivered electronically to the email address associated with your confirmed order within one business day of payment completion. Delivery times may occasionally extend during public holidays or periods of high demand. If you do not receive your product within three business days of payment, contact us at the details provided at the end of this document. We will investigate and re-send materials promptly.

9. Updates and Support

All products include complimentary updates for twelve months from the date of purchase. Updates may include revised worksheets, additional facilitator notes, or supplementary resources. Email support is included with every product; we aim to respond within one business day. Support covers product usage questions and implementation guidance but does not include custom content creation unless separately contracted.

10. Disclaimer of Warranties

Our digital well-being products and website are provided on an "as is" and "as available" basis. To the fullest extent permitted by New Zealand law, Sproutflexible disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our materials will produce specific workplace outcomes, as results depend on individual and organisational commitment to implementing recommended practices.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Sproutflexible shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our products or website. Our total liability for any claim arising from a product purchase shall not exceed the amount you paid for that specific product. Nothing in these terms excludes liability that cannot be excluded under the Consumer Guarantees Act 1993 or other mandatory New Zealand law.

12. Consumer Guarantees

If you are a "consumer" as defined under the Consumer Guarantees Act 1993, our products come with guarantees that cannot be excluded under New Zealand law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have products repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure.

13. Prohibited Conduct

You agree not to use sproutflexible.world or our products to engage in unlawful activity, infringe third-party rights, transmit harmful code, attempt unauthorised access to our systems, scrape or harvest data from our website, impersonate Sproutflexible personnel, or misrepresent the origin of our materials. Violation of these prohibitions may result in immediate termination of access and legal proceedings.

14. Termination

We may suspend or terminate your access to our website or revoke product licences if you breach these terms. Upon termination, your right to use purchased materials ceases, and you must delete all copies in your possession. Provisions relating to intellectual property, limitation of liability, and governing law survive termination.

15. Governing Law

These Terms of Use are governed by the laws of New Zealand. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of New Zealand. If any provision is found unenforceable, the remaining provisions continue in full effect.
